Security Update Version 2.0 (KB928365)

I get this update and am not able to download it successfully; Security
Update for Microsoft .NET Framework, Version 2.0 (KB928365)
It keeps popping up as necessary but fails each time. Do I need it? If I
need it how do I get it installed? If I don't need it, how do I stop it from
popping up as a necessary update?
